I've seen that on stock Redhat systems.
The kernel source isn't necessarily the same as the
kernel you're running (i386/i586/i686/smp/etc.)
The only solution I've found is compiling my own kernel.

There is a fairly new update to VMware that officially supports 2.4.
(it worked for me on older versions of VMware but it wasn't official)
BTW, I'm on vacation until Tuesday and will NOT be checking my email often.
